PUBLIC AGREEMENT (OFFER) for ordering and purchase and sale of goods

This Agreement is an official and public offer of the Seller, Individual Entrepreneur Polianetska Alina Anatoliivna, to conclude a contract for ordering and purchase and sale of goods presented on the website https://alyafranka.store/.

This Agreement is public, meaning that in accordance with Article 633 of the Civil Code of Ukraine, its terms are одинакові for all Buyers regardless of their status, without granting preference to one Buyer over another.

By concluding this Agreement, the Buyer fully accepts the terms and conditions and procedures for placing orders, payment for goods, delivery of goods, acceptance of goods, return of goods, as well as liability for bad-faith orders and all other terms of this Agreement.

The Agreement shall be deemed concluded from the moment the Buyer clicks the “Complete Order” button on the Seller’s website (as specified in clause 1.3 of this Agreement) and receives electronic confirmation of the order from the Seller.

1. Definitions

1.1. Public Agreement (hereinafter – the “Offer”) – a public proposal of the Seller addressed to an indefinite number of persons to conclude a contract for ordering and purchase and sale of goods remotely (hereinafter – the “Agreement”) under the terms contained in this Offer.

1.2. Goods – the subject of the agreement between the parties, selected and purchased by the Buyer on the online store website or by other means specified in clause 3.1 of this Agreement.

1.3. Online Store – the Seller’s website at https://alyafranka.store/, created for concluding retail and wholesale purchase and sale agreements based on the Buyer’s ознакомлення with the description of the Goods via the Internet.

1.4. Buyer – a legally capable individual who has reached the age of 18, receives information from the Seller and places an order for the purchase of Goods presented in the Online Store.

1.5. Seller – Individual Entrepreneur Polianetska Alina Anatoliivna, Tax ID: 3156009589.

2. Subject of the Agreement

2.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.

2.2. The date of conclusion of this Agreement (acceptance of the Offer) and full and unconditional acceptance by the Buyer shall be the date of completion of the order form on the Online Store website or by other means specified in clause 3.1, provided that the Buyer receives order confirmation electronically from the Seller. If necessary, the Agreement may be executed in writing at the Buyer’s request.

3. Order Placement

3.1. The Buyer independently places an order via the Online Store, or by phone указанному in the “Contacts” section, or by email specified on the website, or via direct messages on Instagram to alyafranka.

3.2. The Seller has the right to refuse to process the order if the information provided by the Buyer is incomplete or raises doubts as to its authenticity.

3.3. When placing an order, the Buyer must provide the required information necessary for order fulfillment.

3.4. The name, description, size, weight, composition, price, and other characteristics of the Goods are indicated in the Online Store.

3.5. If additional information is required, either party may request it. Failure by the Buyer to provide necessary information releases the Seller from responsibility for proper service.

3.6. After placing an order, the Buyer’s data is entered into the Seller’s database.

3.7. The Buyer is responsible for the accuracy of the information provided.

3.8. By placing an order, the Buyer confirms that:
a) they fully agree to the terms of this Agreement;
b) they consent to the collection, processing, and transfer of personal data in accordance with Ukrainian law.

4. Price and Delivery

4.1. Prices are determined by the Seller and indicated in the Online Store in UAH.

4.2. Prices may change unilaterally, but paid orders cannot be changed.

4.3. Delivery cost is not included in the price and is paid by the Buyer according to carrier tariffs.

4.6. Payment obligations are fulfilled upon receipt of funds by the Seller.

4.8. Upon receipt, the Buyer must check the Goods for quality and quantity.

4.10. Ownership and risk transfer to the Buyer at the moment of transfer to the carrier or upon personal receipt.

5. Rights and Obligations

Seller обязаний:

  • deliver Goods according to the Agreement;

  • keep Buyer’s data confidential.

Seller має право:

  • change terms and prices unilaterally.

Buyer зобов’язаний:

  • review Agreement terms;

  • provide accurate data for delivery.

6. Returns

6.1. Jewelry made of precious metals and stones is non-returnable according to Ukrainian law.

6.2. The Seller is not responsible for defects caused after transfer due to misuse, third parties, delivery damage, or force majeure.

7. Liability

7.1. The Seller is not liable for damage caused by improper use or allergies.

7.2. The Seller is not liable for delays due to incorrect information or force majeure.

7.4. Parties are released from liability in case of force majeure (war, disasters, etc.).

8. Personal Data Protection

8.1. By placing an order, the Buyer consents to data processing without time limitation.

8.2. The Seller ensures confidentiality except where required by law or for order fulfillment.

8.3. The Buyer is responsible for keeping their data up to date.

9. Other Terms

9.1. This Agreement is governed by the laws of Ukraine.

9.2. Disputes are resolved through negotiations or court.

9.3. The Seller may amend the Agreement unilaterally.
